# Wegic User Service Agreement

## 1. **Definitions**

1. "Account" means a registered online account that you use to access the Services.
2. "Customer Data" means materials and information, any documents, reports submitted, uploaded and stored by you through the Services.
3. "Content" means code, content, fonts, graphics, designs, documents or materials created by Customer and its Users using the Services, or imported into the Services by Customer and its Users.
4. "Services" means Wegic's proprietary web-based products and services
5. "Third Party Services" means any product, software or application participant whose services are provided by a third party and interoperate with the Services.
6. "Account Data" means data relating to your data used to use the Platform and the Services, including but not limited to Personal Data, excluding aggregated data and any wegic property.
7. "Modifications" means modifications, improvements, customizations, patches, bug fixes, updates, enhancements, summaries, compilations, derivative works, translations and adaptations.
8. "Personal Information" means personally identifiable information provided by the Customer pursuant to this Agreement.
9. "we", "us", "Wegic" Instant Design,LLC. and its subsidiaries.
10. "You" or "Customer" means the person or company accepting these Terms or other legal entity and its affiliates to whom you accept the Terms.
11. "Website" means any website used by Wegic to provide the Wegic SaaS Services, including the website located at

## 2. **Services**

1. Wegic hereby grants to Customer a non-exclusive, non-transferable license for the term:

(a) use the Services and download and install the applicable desktop or mobile applications, as applicable, on the number and type of Authorized Devices, in accordance with the Documentation, solely for Customer's internal business purposes, and/or

(b) Hosting systems, designing software, tools and building websites under (domain) using our SaaS offerings. The services are provided electronically.

2. Provision of services

Wegic provides the Wegic Services through an online platform (the "Wegic Website"). Subject to Customer's and its Licensed Users' compliance with the terms and conditions of this Agreement, Wegic will provide the Wegic Services to Customer and its Licensed Users in accordance with the terms and conditions set forth herein during the term of this Agreement.

## 3. **User accounts**

(a) To use the Services, Users will be required to register and create an account, which will require the disclosure of certain information (including an email address, password, or google authentication login.) A Wegic account will allow Users to access services and features that Wegic may establish and maintain from time to time, and in Wegic's sole discretion.

(b) Customer is responsible for identifying and verifying all Authorized Users and for Authorized Users' use of the Wegic Services in accordance with this Agreement. Customer shall ensure that Authorized Users use the Wegic Services only through Customer User Accounts. Customer shall not permit any Authorized User to share the Customer User Account with any other person. Customer shall immediately notify Wegic of any actual or suspected unauthorized use of the Wegic Services, and Wegic reserves the right to suspend, deactivate or replace Customer's User Account if Wegic determines that Customer's User Account may be used for an unauthorized purpose.

## 4. **General conditions**

We reserve the right to refuse service to anyone at any time for any reason.

You understand that your content, excluding credit card information, may be transmitted in an unencrypted manner and involves

(a) Transmission of networks by various means; and

(b) Changes to comply and adapt to technical requirements Connection to the network or device. Credit card information is always encrypted during transmission over the network. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, access to the Services, or any contact on any website providing the Services without our express written permission. The headings used in this Agreement are included for convenience only and do not limit or otherwise affect these Terms.

## 5. **Accuracy, completeness and timeliness of information**

## 6. **Costs and payments**

Your rights and obligations with respect to certain services will depend on the pricing plan selected.

(a) If you purchase/subscribe to any of the Services, you will provide complete and accurate billing information and you represent and warrant that you have the right to use all of the payment methods that you provide to us.

(b) For paid subscriptions, we will automatically charge you for each agreed-upon periodic renewal through your payment method until you cancel.

When you purchase our subscription services, you expressly authorize us or our third party payment processor to pay for such services on your behalf.

5. Changes in costs

Wegic reserves the right to adjust the fees for the Services at any time and will implement the new fee rates on each anniversary of the contract period while ensuring that the Client is notified at least 30 days in advance by appropriate means of communication, and that the Client shall have the right to choose between accepting the new fees or terminating the Service Contract prior to the end of the current contract period upon receipt of such notice.

6. Periodic payment authorizations

(a) Subscription Pricing Plans Depending on the option you select, these charges may recur monthly and thereafter monthly at the then-current rate. Please note that our fees are subject to change, but we will notify you before or after any changes occur.

(b) By agreeing to these Terms and purchasing a Subscription, you acknowledge that your Subscription has a recurring payment feature and that you assume all recurring payment obligations until you or Wegic cancel the Subscription. We (or our third-party payment processor) will bill you automatically based on the subscription information you provide (e.g., calendar day for monthly payments, annual payments).

(c) Your subscription will continue until you cancel or we terminate your access to or subscription to the Services or Use.

7. Cancellation and Refund Policy

(a) Subscription Cancellation

i. You may cancel your subscription at any time through your account settings. The cancellation will take effect at the end of the current billing cycle.

ii. No prorated refunds will be provided for partial subscription periods.

(b) Refund Entitlement

i. If you are dissatisfied with the first annual subscription plan you have purchased, you may submit a cancellation notice for any reason within seven days after the first annual subscription.

ii. Refunds are only applicable to the first annual subscription. No refunds will be provided for any additional purchases, upgrades, modifications, or renewals of the Wegic services.

iii. In jurisdictions where the statutory cooling-off period is longer than seven (7) days, Wegic shall comply with the longer refund period stipulated by the applicable consumer protection regulations.

(c) Refund Mechanics

i. Subscribers of the first annual subscription are entitled to apply for a refund of the subscription fees for the unused portion, excluding any third-party processing fees (including but not limited to acquirer fees and currency exchange fees).

ii. Wegic expressly disclaims any liability for:

① variances caused by foreign exchange rate fluctuations;

② and third-party financial institution charges.

(d) Non-Refundable Items

i. The following categories shall be expressly excluded from refund eligibility:

① Third-party services and applications;

② Digital content consumed or accessed during the subscription period;

③ Any services explicitly designated as "non-refundable" at the point of purchase.

(e) Refund Processing

iii. Refund requests must be submitted to <payment@wegic.ai> with:

① Valid order reference number;

② Subscriber account details;

③ Detailed justification for the refund request.

iv. Processing timelines shall be subject to the policies of the relevant financial institutions.

8. taxes

Fees under this Agreement do not include applicable sales, use, gross receipts, value added, excise, personal property or other taxes. Customer will be responsible for and will pay all applicable taxes, duties, tariffs, assessments, import and export fees or similar charges (including related interest and penalties) with respect to the transactions to which this Agreement relates, except for taxes based on wegic net income or profits.

## 7. **Licensing of services**

We grant you a non-transferable, non-exclusive, revocable license to use the Wegic Services for personal and business purposes. If at any time we believe that we have determined, in our sole discretion, that you are using the Wegic Services to the extent that you are using the Wegic Services, we may terminate your access to the Wegic Services without additional liability to you.

The rights granted to you in these Terms are subject to the following limitations:

(a) You shall not license, sell, rent, lease, assign, transfer, distribute, distribute, host or otherwise commercially exploit the Wegic Services, including (without limitation) by adding more users than the maximum number of users permitted per account.

(b) you shall not modify, prepare derivative works of, disassemble, decompile, or reverse engineer any portion of the Wegic Services.

(c) You should not access the Wegic Services in order to establish similar or competing services; and

(d) Except as expressly provided herein, you may not copy any portion of the Wegic Services, reproduce, distribute, republish, download, display, publish or transmit in any form or by any means. All intellectual property rights in the Wegic Services, as well as all content and logos, are owned by Wegic. You may not copy, imitate or use any such intellectual property without our prior written consent. Nothing in these Terms grants you any rights to the intellectual property rights in the Wegic Service other than the rights granted under these Terms. Your right to use the Wegic Services is personal to you and you may not grant this right to any other person. Your right to use the Wegic Services does not prevent us from granting others the right to use the Wegic Services.

## 8. **User content licenses**

You may use the Wegic Services to publish certain content, such as information, data, images, documents, files, scripts, applications, electronic media, logos, text, web pages, and any other files or data or similar materials to the Wegic Websites ("Content"). You will always retain your rights to the Content, including intellectual property rights, when you post Content to the Wegic Websites. By uploading any Content to the Wegic Websites, you acknowledge that:

(1) you are the creator and owner, or have the necessary licenses to use and authorize Wegic and other Wegic users to use and distribute your content as necessary to exercise the licenses you have granted in the manner contemplated by us in this section and these Terms.

(2) Your content is and will never be:

(i) infringes, violates or misappropriates any third party rights, including any copyrights, trademarks, patents, trade secrets, moral rights, rights of privacy, publicity or any other intellectual property or proprietary rights, or

(ii) defamation, libel, slander or infringement of the right of privacy, publicity or any other property right of any other person; and

(iii) Your Content does not contain any viruses, adware, spyware, worms or other malicious code or any content or files that provide a means of accessing potentially infringing content outside of our Services.

(3) We have no obligation to remove, screen, edit or monitor any Content. We may, in our sole discretion, remove, screen, edit or disable any Content at any time and for any reason without notice.

(4) You agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) license to exercise the copyrights, publicity rights, database rights, or other rights you have in the Content. We will only use your information in accordance with the following terms and conditions, which apply to the Site's Use and Privacy Policy. All content on the Compilation (meaning the collection, organization, and assembly) is the exclusive property of Wegic. If you become aware of any illegal activity or material on our site, or any violation of this notice, please notify us. We respect the rights of others with respect to intellectual property and expect users of Wegic's services to do the same.

(5) We will respond to notices of alleged copyright infringement that comply with the applicable law as set forth below and are provided to us in a timely and appropriate manner. If you have reason to believe that your content has been copied in a way that constitutes copyright infringement, please provide us with the following information:

(i) A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.

(ii) Identification of the copyrighted work claimed to have been infringed.

(iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.

(v) your contact information, including your address, telephone number and e-mail address.

(vi) Wegic reserves the right to remove allegedly infringing content without notice, at our sole discretion and without liability to you.

## 9. **Content restrictions**

You may not publish, host, display, upload, modify, post, transmit, update or share any of the following information or content:

(a) infringes, violates or otherwise misappropriates the intellectual property or other rights (including any moral rights, rights of privacy or publicity) of any third party.

(b) is seriously harmful, harassing, profane, defamatory, obscene, pornographic, paedophilic, libelous, invasive of another's privacy, hateful or racially discriminatory, racially objectionable, demeaning, associated with, or encouraging the laundering of money or gambling, or in any way unlawful; or unlawfully threatening or unlawfully harassing, including, but not limited to, "indecent assault on women".

(c) Obviously offensive to the online community, such as explicit pornographic content, or the promotion of obscenity, paedophilia, racism, bigotry, hatred or any form of physical harm against any group or individual.

(d) Harassment or advocacy of harassment of other users.

(e) Involving the transmission of "spam", "chain mail" messages", or unsolicited mass mailings or "junk mail".

(f) Promoting unlawful abuse, threats, obscenity, defamation.

(g) infringes or violates the rights of any third party including, but not limited to, intellectual property rights, privacy (including, but not limited to, the unauthorized disclosure of an individual's name, e-mail address, physical address or telephone number) or publicity.

(h) Promoting illegal or unauthorized copies of others' copyrighted works, such as by making available pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protection devices, or making available pirated music or links to pirated music files; pages that contain restricted or password-only access or hidden pages or images (pages that are not linked to or from other accessible pages); pages that do not have a link to another accessible page; or pages that do not contain a link to a page that has a password. pages that are not linked to other accessible pages or pages that are not linked to other accessible pages).

(j) Providing material that exploits another person or solicits personal information from any person in a sexual, violent or other inappropriate manner.

(k) Providing instructive information on illegal activities, such as manufacturing or purchasing illegal weapons, invading the privacy of others, providing or creating computer viruses.

(l) Attempting to gain unauthorized access or exceeding authorized access to the Site or other areas of the Site or soliciting passwords or personally identifiable information from other users for commercial or illegal purposes.

(m) means any URL that, in our sole discretion, contains material that is not appropriate for the Site, contains content that is prohibited or violates the letter or spirit of these Terms of Use.

(n) Infringes any patent, trademark, copyright or other proprietary right or trade secret or right of a third party to publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen products.

(o) Violation of any law.

(p) Contain software viruses or any other computer code, files, or other computer code designed to interrupt, destroy, or limit any computer resources; or contain any Trojan horses, worms, time bombs, cancelbots, Easter eggs, or other potentially destructive computer programming routines that may detrimentally interfere with, diminish the value of, surreptitiously intercept, or expropriate any system, data, or personal information.

## 10. **Ownership**

(a) Rights to User Content Granted by You: By providing any user content through the Service, you hereby grant to Wegic a non-exclusive, transferable, worldwide, royalty-free license, with the right to sublicense, to use, host, cache, store, copy, transmit, publicly display, publicly perform, publish, distribute, and modify (solely for formatting purposes) your user content, solely in connection with the operation and provision of the Service and conceptual content to you. For other users, individuals, and/or organizations, it depends on the permissions you grant. Subject to the foregoing license, you and Wegic retain any and all rights to your user content. You acknowledge that if you provide organizational content, the ownership of such organizational content may be stipulated in any agreement between you and the organization, and in the absence of such an agreement, the organization may have rights to any such organizational content as between you and the organization.

(b) Except for the content, Wegic shall own all rights, including but not limited to all copyrights in the Service, including any content or trademarks, text, graphics, user and visual interfaces, photographs, logos, sounds, music, artwork, applications, computer code, and related documentation, including but not limited to the design, structure, arrangement, and "look and feel" of such content, as well as content owned or licensed by Wegic and Wegic's licensors, which are protected by copyright, trademark, and other intellectual property and laws, but expressly excluding rights in packages and components. Except for the rights expressly granted in this Agreement, the customer does not acquire any rights, ownership, or interest in the Service.

(c) No Assignment of Intellectual Property. Except for the licenses described in this Agreement, neither party shall assign any intellectual property rights to the other party under this Agreement.

## 11. **Obligations of the user towards the end "user"**

Any natural person who accesses or uses a website, page, or content created by Customer on the Services is an "End User" of Customer, and Wegic has no direct relationship with End Users, and therefore Wegic is not responsible for how Customer handles End User information.

(a) Applicable Law. Customer may have additional obligations under local law based on the obligations described in this Agreement. Use of the Services does not ensure compliance with such laws and Wegic is not responsible for Customer's compliance with such laws. To the extent Wegic is obligated to assist Customer in the processing of End User Information, such obligations are set forth in the Data Processing Agreement between Wegic and Customer.

(b) Security of End Users. Customer shall use all reasonable efforts to protect the information collected from End Users through use of the Services, including any personal data obtained from unauthorized access or use. If Customer discovers that End User Information collected by Customer has been compromised, leaked, or inadvertently exposed to an unauthorized third party, Customer shall notify Wegic of such compromise or exposure, including the root cause, remediation steps, and compensating controls, within 72 hours to ensure that such a compromise does not occur in the future.

(c) Security notification. Customer is responsible for providing notification to its end users, third parties or authorities in accordance with applicable breach notification regulations and any other applicable data protection laws. Customer acknowledges that Customer is solely responsible for any personal injury or property damage arising out of or in connection with Customer's use of any of the Services.

(d) Privacy. Customer acknowledges and agrees that Customer is solely responsible for providing any required notices and obtaining all necessary consents from end users in connection with the use of the Services. Customer's notices and consents must comply with all applicable data protection and security laws and regulations. Without limiting the foregoing, prior to collecting or using any End User Information, Customer must provide adequate notice of the End User Information collected by Customer, how it will be used and/or shared, and obtain any necessary consents required by applicable data protection laws and regulations. Customer agrees to comply with all data protection laws and regulations (including those applicable to personal information) relating to Customer's access to and use of the Services.

(e) Notice. Customer shall provide and comply with Customer's Privacy Policy for Customer's use of the Services, which:

(i) Comply with all applicable laws, rules and regulations.

(ii) display to all end-users, and

(iii) provide end users with a clear and accurate description of the information collected by the customer (e.g., login information, contact form data, cookies, etc.) and how the customer uses and shares such information with Wegic and other third parties (including for marketing and advertising purposes).

(f) Privacy. Customer shall respond in accordance with applicable law to any End User that wishes to exercise its right to privacy as it relates to any information collected through Customer's use of the Services. For example, if End Users located in certain jurisdictions may exercise the "right to be forgotten" (or the "right to erasure") with respect to information collected about them by Customer, Customer shall comply with their requests in accordance with the requirements of applicable law. For clarity, Customer is directly responsible for the information processed by Customer in connection with Customer's use of the Services (or "Data Controller"), including any information processed through third-party applications available on the Services, and Wegic is not the Data Controller of such information and is not responsible for responding to End Users on behalf of Customer. If Wegic receives a request from an End User or an authority regarding Customer's use of the Services, Wegic will notify Customer as permitted by law.

## 12. **Warranties and disclaimers**

(a) Except as expressly provided in these Terms, we do not warrant that the Services will be secure, uninterrupted, error-free or free from defects.

(b) We do not warrant that the results that may be obtained from the use will be accurate or reliable.

(c) the services are provided "as is" and "as available", and wegic disclaims all warranties of any kind, whether express, implied or statutory, including, but not limited to, warranties of merchantability, non-infringement or use, merchantability or fitness for a particular purpose or use. we disclaim any responsibility and any liability for injury or damage caused by any third party hosting service provider.

## 13. **Severability**

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severable from these Terms. served, and such determination shall not affect the validity and enforceability of any other remaining provisions thereof.

## 14. **Termination**

The Parties shall, as of the Termination Date, continue the effective purpose of this Agreement after its termination.

These Terms of Service remain in effect unless and until terminated by either you or us. You may terminate these Terms of Service at any time by giving notice that you no longer wish to use our services, or when you stop using our services on the Website.

We may also terminate this Agreement at any time without notice if we determine in our sole discretion that you have failed, or we suspect that you have failed, to comply with any term or provision of this TOS, and you will continue to be liable for all amounts due up to and including the date of termination; and/or you may be denied access to our Services (or any portion thereof) as a result.

## 15. **Complete agreements**

(a) Our failure to exercise or enforce such rights or to provide for the Terms of Service shall not constitute a waiver of such rights or provisions.

(b) These Terms of Service, together with any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us on the Site or in connection with the Service constitute the entire agreement and understanding between you and us governing your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, without limitation, those limited to any prior version of the Terms of Service).

(c) Any ambiguity in the interpretation of these Terms of Service shall not be construed against the drafting party.

## 16. **Governing law**

(a) Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without giving effect to any choice of law or conflict of law provisions.

(b) Dispute Resolution

The Parties agree that any dispute arising out of or in connection with this Agreement shall first be attempted to be resolved through friendly consultation. If no resolution is reached through consultation, the Parties agree to submit the dispute to arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be New York City. The arbitral award shall be final and binding on both Parties.

(c) Arbitration Procedure

The arbitration proceedings shall be conducted in accordance with the AAA’s Commercial Arbitration Rules, with the arbitration language being English. The arbitral tribunal shall consist of a sole arbitrator with expertise in the relevant field. The arbitral award shall be rendered within six months from the commencement of the arbitration proceedings.

(d) Exceptions

For individual claims in small claims court and actions seeking injunctive or other equitable relief, the Parties may directly file a lawsuit in court.

# Wegic Affiliate Partner Terms

Welcome to the Wegic Affiliate Partner Program (the "Program"). These Terms and Conditions (the "Terms") apply to your participation as a Wegic Affiliate Partner (the "Partner"). By joining the Program, you agree to be bound by the following terms and conditions. Please read these Terms carefully as they set out your rights and obligations as a partner. Partners have the opportunity to earn remuneration based on the sale of Wegic products, services and accounts (as defined herein), as discussed further here. Remuneration shall be determined at Wegic's sole discretion. Please refer to the terms of reference applicable to your use of Wegic Services and your participation in this partnership.

## **1. Definitions**

1.1 "Wegic" refers to Wegic Corporation and its affiliated entities.

1.2 "Partner" refers to an individual or entity that has joined this Program and agrees to these Terms.

1.3 "Program" refers to the Wegic Affiliate Partner Program, including the referral and commission program.

1.4 "Commission" refers to the compensation earned by a Partner under the terms of this Program, including First-order Commission and Renewal Commission (as defined in Clause 4.2).

1.5 "Sale" refers to the successful sale of Wegic products, services, or accounts through a Partner's referral link or code, including initial subscription and subsequent renewal within the first year (as defined in Clause 4.2).

1.6 "First-order Commission" refers to the commission earned by a Partner based on the first subscription amount of a new customer (including annual and monthly payment orders) under the Program.

1.7 "Renewal Commission" refers to the commission earned by a Partner based on the subsequent renewal amount of the same customer within the first year of the initial subscription under the Program.

1.8 "Platform" refers to the third-party platform used for commission payment under this Program, through which Wegic shall pay commissions to Partners.

1.9 "Actual Selling Price" refers to the final price paid by the customer for Wegic products, services, or accounts after deducting any discounts, credits, or promotional subsidies, excluding taxes.

1.10 "Acquiring Bank Fee" refers to the handling fee charged by the payment acquiring institution for processing customer payment transactions.

1.11 "Domain Cost" refers to the annual cost of approximately $20 incurred by Wegic for providing domain-related services in conjunction with annual subscription orders.

## **2. Consent**

2.1 You agree to provide Wegic with all information related to your application to participate in this Program and confirm that all information provided is true, accurate, and correct.

2.2 You expressly consent to the use of the email address, social media accounts, and phone number provided during the application process for communication regarding your application to this Program.

## **3. Eligibility**

3.1 To become a Partner, you must meet the following requirements:

a. Be at least 18 years of age or the age of legal majority in your jurisdiction.

b. Have full legal capacity to enter into a binding agreement.

c. Provide true, accurate, up-to-date, and complete information as required, ensuring all details comply with the terms of this Agreement.

d. Comply with all applicable laws and the terms outlined in this Program. If applying on behalf of a legal entity, you further confirm that you are authorized to accept the terms of this Agreement on behalf of such entity.

e. The entity has full legal authority to enter into this Agreement and fulfill the obligations set forth herein.

3.2 You understand and agree that Wegic reserves the right to review your eligibility to participate in this Program, and not all applicants will qualify. Wegic retains the right to reject or terminate the eligibility of any Partner at any time.

3.3 You are required to ensure the authenticity of the application materials and information you provide.

## **4. Participation Methods and Rewards**

4.1 If your affiliate application is approved by Wegic, you will receive a unique referral URL, which you will use to advertise Wegic. You will be eligible to receive a commission for the first subscription sale of a new customer you bring to Wegic by clicking on your referral URL within 60 days. If a potential customer has multiple affiliate cookies ("cookies"), the most recently acquired cookie will determine which affiliate is credited for the sale. Notwithstanding any provisions to the contrary, the decision to pay commissions under this Program is at the sole discretion of Wegic.

4.2 Our Commission rates are as follows:

a. **Commission Calculation Basis**: Commissions shall be calculated based on the Actual Selling Price minus the Acquiring Bank Fee. For annual subscription orders, an additional Domain Cost of approximately $20 shall be deducted from the aforementioned amount before calculating the commission.

b. **First-order Commission**: 30% of the first subscription amount of a new customer you bring to Wegic through your affiliate link within 60 days (including annual and monthly payment orders).

c. **Renewal Commission:** 10% of the subsequent renewal amount of the same customer (limited to renewals within the first year of the initial subscription).

d. **Settlement rules for annual payment order commissions:**

i. Verification Period: The customer must log in and use the service normally for ≥ 1 time after payment.

ii. Settlement Date: If the verification is passed and there is no refund, the commission will be recorded on the 27th day from the payment date.

iii. Payment Date: Payment will be completed by the 15th day of the following month after the commission is recorded.

e. **Settlement rules for monthly payment order commissions:** The commission will be paid to you after the completion of the customer's monthly order (within 31 days).

Note: Commissions will only be paid to you if the customer does not request a refund within one month for monthly payment orders, or if the verification is passed and there is no refund for annual payment orders.

4.3 All commissions will be determined by Wegic in writing and paid in US Dollars (USD) via the Platform. The amount you receive will be the net commission, meaning all processing fees related to the Platform will be borne by Wegic unless otherwise specified by the Platform. You are responsible for paying all taxes applicable to your commissions. Additionally, any amounts payable to you by us may be offset by any amounts you owe to us. You can view available payment options in your affiliate account settings.

4.4 Wegic may update the commission portion of the Affiliate Program at any time. You are only eligible to receive commissions for any applicable customer purchases made using your approved affiliate link. As further described in the Program rules, commissions are calculated based on the fees actually received by Wegic, which are related to the applicable customer's subscription agreement with Wegic, excluding taxes, and after applying any discounts, credits, or promotional activities.

## 5. Verification and Risk Control

5.1 Validity Verification (Order Validity Standards) Annual payment orders shall meet all the following conditions to be eligible for commission settlement:&#x20;

a. The customer completes email verification and logs in to the backend for ≥ 1 time.&#x20;

b. The customer uses core functions (such as AI generation, API calls) cumulatively for ≥ 1 time.&#x20;

c. There are no disputes or refund requests (including credit card chargebacks).&#x20;

5.2 Dispute Handling (Commission Freezing and Recovery) If the customer requests a refund after the 27-day verification period:&#x20;

a. The already paid commission will be deducted from the subsequent commissions.&#x20;

b. If there are no pending commissions, Wegic has the right to recover the commission through the dispute resolution process.&#x20;

5.3 Promotion Red Lines In addition to the existing provisions on prohibited promotion activities, the following are explicitly prohibited:&#x20;

a. False promotion (such as promising functions or discounts not authorized by the official).&#x20;

b. Bidding on Wegic trademark keywords (such as "Wegic AI website builder") for search engine marketing or any other form of online advertising.&#x20;

c. Domain hijacking (such as registering domains like [wegic-discount.com](https://wegic-discount.com/)).&#x20;

5.4 Deduction Rules If abnormal traffic is detected (such as intensive access from the same IP/device), Wegic has the right to:&#x20;

a. Deduct the commission corresponding to such abnormal traffic.&#x20;

b. Request the Partner to provide proof of traffic source.&#x20;

c. Terminate the cooperation and claim compensation for severe cases.&#x20;

5.5 Content Review Right Wegic has the right to request the Partner to modify or remove the following content:&#x20;

a. Using unofficial product screenshots/demo videos.&#x20;

b. Using misleading statements such as "official partner" in promotional copy.&#x20;

5.6 Special Tips&#x20;

a. Although the commission for annual payment orders is settled on the 27th day, the customer must continue to use the service to finally retain the commission.&#x20;

b. Renewal commissions are limited to the first year; no commissions will be calculated for orders in the second year and beyond.&#x20;

c. If the customer switches from monthly payment to annual payment, the commission will be paid at 30% of the first order plus 10% of the converted amount of the remaining months.

## **6. Prohibited activities**

&#x20;6.1 By participating in the Affiliate Program, you agree that you will not, directly or indirectly:

a. Infringe upon the intellectual property, publicity, privacy, or other rights of Wegic or any third party;

b. Use Wegic trademarks in violation of applicable laws or in connection with obscene, indecent, or unlawful subject matter or materials;

c. Create or register any (i) business, (ii) URL, (iii) domain or subdomain, (iv) software application name or title, or (v) social media handle or profile that includes the word "Wegic," any Wegic trademark, or any term confusingly similar to a Wegic trademark;

d. Bid on any Wegic trademark, including any variations or misspellings thereof, for search engine marketing or any other form of online advertising;

e. Use Wegic trademarks in any keyword advertising targeting, including via Google AdSense/AdWords or similar products;

f. Make any false or misleading statements to encourage others to use your affiliate link;

g. Use automated systems or bots to distribute, post, or otherwise share your affiliate link through any channel, including using scripts, programming, or auto-dialers to send invitations or otherwise share your affiliate link;

h. Create misleading, fraudulent, or false websites, webpages, social media profiles, or applications to misrepresent your connection to Wegic;

i. Misrepresent or embellish the relationship between you and Wegic or imply any relationship or affiliation between you and Wegic or any other person or entity except as expressly permitted by the Affiliate Program;

j. Display your website in any manner that resembles, impersonates, replicates, or mirrors the look and feel of the Wegic website at <https://wegic.ai/>

k. Use redirects on your advertisements to impersonate another domain or bounce a click off of a domain from which the advertisement did not originate in order to give the appearance that it came from that domain;

l. Engage in cookie stuffing or include pop-ups, false or misleading links on your website, including (where applicable) not attempting to mask referral URL information (e.g., the source page of a click);

m. Conduct false promotion (such as promising functions or discounts not authorized by the official);

n. Bid on Wegic trademark keywords (such as "Wegic AI website builder") for search engine marketing or any other form of online advertising;

o. Engage in domain hijacking (such as registering domains like [wegic-discount.com](https://wegic-discount.com/)).

## **7. Trademarks**

You grant us a non-exclusive, non-transferable, royalty-free (without any additional payment) right to use and display your trademarks, service marks, and logos for purposes related to this Program and this Agreement.

The Wegic trademarks are our property, and you may not use them without our prior written permission. During the term of this Agreement, if we provide you with written permission to use our trademarks, you may use them in accordance with the usage requirements set forth in this section and any other requirements we may specify from time to time. You must:

(i) Use only the trademark images provided by us and not alter them in any way;

(ii) Use our trademarks solely for purposes related to this Program and this Agreement;

(iii) Comply with our usage guidelines; and

(iv) Immediately cease use if we request you to do so.

You may not:

(i) Use our trademarks in a misleading or disparaging manner;

(ii) Use our trademarks in a way that implies our endorsement, sponsorship, or approval of your services or products; or

(iii) Use our trademarks in connection with any unlawful, obscene, indecent, or illegal subject matter or materials under applicable law.

## **8. Limitation of Liability**

To the extent permitted by law, neither party shall be liable for any indirect, punitive, or consequential damages, including loss of profits or business opportunities. If we are found liable to you or any third party, the parties agree that our total liability shall be limited to the total amount of commissions you actually earned for the relevant customer transactions in the twelve (12) months preceding the event giving rise to the claim.

## **9. Opt-Out Mechanism**

9.1 The term of this collaboration shall commence upon the approval of your application to participate in the Affiliate Program. Your participation in the Wegic Affiliate Program will continue on a month-to-month basis until terminated. Either party may terminate this collaboration at any time by providing written notice to the other party, with or without cause. We may, at our sole discretion, terminate this collaboration or suspend your access to the Affiliate Website ("Website") at any time without notice if we determine or suspect that you have failed to comply with any terms or provisions of these Terms of Service or have violated any laws (whether related to your use of Wegic or not). If you are found to be bidding on brand keywords (including Wegic) on Google or Bing, you will be deemed in material breach, and we may terminate your account without paying any sales commissions.

9.2 Additionally, if your dispute rate (as determined by Wegic) exceeds 10%, Wegic may terminate this collaboration or suspend your access to the Website at any time without notice. In such cases, we may also, at our sole discretion, terminate our relationship with you and suspend any accounts owned/controlled by you for the reasons stated above. If this collaboration is canceled due to your breach, you will immediately forfeit all commissions and any other amounts payable or potentially payable to you, and Wegic shall have no further obligations to you. Furthermore, if you earn no (zero) commissions within a 12-month period, your eligibility for the collaboration will automatically terminate.

9.3 Effect of Termination

a. The Affiliate’s status as an active Affiliate shall be automatically revoked immediately;

b. The Affiliate must immediately cease using all Program Materials, Wegic Trademarks, Affiliate Badges (if applicable), and any other assets provided by Wegic to the Affiliate under this Agreement;

c. The Affiliate shall promptly remove all references to the Affiliate Program (including, without limitation, any display or publication of Wegic Trademarks and Affiliate Badges) from its website, materials, media, or other promotional materials;

d. You shall destroy or return any Wegic Confidential Information in your possession, including any Program Materials, and provide written confirmation of such destruction;

e. All rights and licenses granted to each party under this Agreement shall immediately terminate and expire, including, without limitation, the Affiliate’s right to earn and receive any new unearned Commissions; and

f. Wegic’s obligation to pay any unpaid Commissions and your right to receive any unpaid Commissions shall terminate as of the date of such termination.

## **10. Representations and Warranties**

In addition to any other representations and warranties made by you herein, you further represent and warrant that you are not currently subject to any prior or pending government investigation, inquiry, or prosecution by the Federal Trade Commission ("FTC"), any other federal or state government agency, or any industry regulatory authority worldwide. Furthermore, you are not involved in any prior or pending private litigation related to intentional infringement or alleged violations of consumer protection or advertising laws. If, after the execution of this Agreement, you become the subject of any such investigation, inquiry, prosecution, or litigation, you must notify Wegic within 24 hours. Wegic reserves the right, at its sole discretion, to immediately terminate your participation in the Wegic Affiliate Program and this collaboration based on any investigation, proceeding, or litigation described in this section.

## **11. Modification of Terms and Conditions**

Wegic reserves the right to modify or update these Affiliate Program Terms and Conditions at any time. Any changes will be communicated to affiliates via email and posted on the affiliate account dashboard. Unless otherwise stated, changes will become effective thirty (30) days after notice. Continued participation in the Program after this period constitutes acceptance of the revised terms. You are responsible for periodically reviewing this Agreement to stay informed of any changes.

## **12. Miscellaneous**

12.1 **No Partnership or Agency.** This Agreement does not create a partnership, agency, joint venture, or employment relationship between the parties. The dispute resolution provisions set forth in the Wegic Terms of Service are incorporated by reference and shall form part of these Terms.

12.2 **No Third-Party Rights.** Nothing in this Agreement, whether express or implied, is intended to or shall confer upon any person or entity (other than the parties to this Agreement) any rights, benefits, or remedies of any nature whatsoever under or by reason of this Agreement.

12.3 **Severability.** If any provision of this Agreement is found by a court of competent jurisdiction to be unlawful, such provision shall be deemed invalid, and the remaining provisions of this Agreement shall continue in full force and effect.


# Wegic Referral Terms

## 1. **Eligibility**

1.1 This program is available only to registered Wegic users ("Inviter"). Inviters obtain a unique referral link or code via the "Invite & Earn" dashboard section.

1.2 A new user ("Invitee") must successfully register a Wegic account and verify their email through the Inviter's unique link to count as a valid referral. Sign-ups via the main website or other users' links are not attributed.

1.3 Each Invitee is limited to a single Wegic account.

## **2. Rewards**

2.1 Once the Invitee successfully registers and activates the Wegic account, both Inviter and Invitee will instantly get credits and a 10% discount code for subsequent plan upgrades and renewals.

2.2 Only one reward is granted per valid referral pair. Rewards are non-transferable, non-stackable across other promotional programs, and not redeemable for cash.

2.3 Credits can be earned up to 5 times, while 10% discount codes are unlimited.

## **3. Discount Code Terms**

3.1 The discount code is single-use and valid for 7 days from issuance. Expired codes will not be reissued.

3.2 It entitles the holder to 10% off for any plans.

3.3 Discount codes cannot be combined with credits temporarily. Further notification will be provided once stacking becomes available in the future.3.4 The code cannot be split, transferred, or applied to refunded/cancelled orders.

## **4. Delivery**

4.1 Credits are issued instantly upon successful registration and email verification (usually within 10 minutes). Discount codes are delivered via in-app notification and/or email.

4.2 If rewards are not received within 2 hours, contact Support with both email addresses for investigation. Wegic is not liable for delays caused by failure to use the correct link or use of ineligible email addresses.

## **5. Restrictions & Anti-Abuse**

5.1 Wegic prohibits the following conducts:

* Promotional methods that abuse the system, including spam, unsolicited mass emails, branded PPC (bidding on Wegic keywords), pop-ups/pop-unders, automatic redirects, coupon auto-apply tools, and incentivized traffic;
* Use of automated scripts, bots, virtual numbers, or non-human registration methods;
* Disposable or high-risk email accounts (as determined by a third-party reputation service)

5.2 Wegic monitors referral activity and registration quality. Suspicious behavior (self-referral, bulk fake accounts, organized cheating) may lead to:

* Denial or clawback of rewards;
* Suspension or deactivation of referral links;
* Account suspension or termination.

## **6.Disclaimer & Modification**

6.1 This program is an experimental growth initiative. Wegic may update, pause, or discontinue it, or adjust rewards, at any time without prior notice.

6.2 Final interpretation rests with Wegic's operator.
